Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Northstar Analytics, a product of Captive Demand (“Northstar Analytics”, “we”, “us”, or “our”), including the application available at northstaranalytics.io (the “Service”). Please read them carefully.

1. Acceptance of terms

By accessing or using the Service, or by clicking to accept these Terms, you agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Service.

2. Description of the Service

Northstar Analytics is a multi-tenant analytics platform that lets you connect third-party advertising, analytics, and CRM tools and turn that data into dashboards, reports, and AI-assisted insights. We may update, improve, or modify features of the Service over time.

3. Accounts and organizations

You must create an account to use most features. Accounts are organized into organizations (workspaces), and access is governed by roles within an organization. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You must provide accurate information and keep it up to date.

4. Subscriptions, billing, and cancellation

The Service is offered under subscription plan tiers with differing seats, integration limits, and features. Paid subscriptions are billed through our payment processor, Stripe, on a recurring basis (e.g. monthly) until cancelled. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees.

• Fees are billed in advance and, except where required by law, are non-refundable.
• You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then.
• We may change plan pricing or features with reasonable prior notice; changes apply to subsequent billing periods.

5. Acceptable use

You agree not to:

• Use the Service in violation of any law, regulation, or third-party rights, including the terms of any connected platform.
• Attempt to gain unauthorized access to the Service, other tenants’ data, or our systems, or to disrupt or degrade the Service.
• Reverse engineer, resell, or sublicense the Service except as permitted by law.
• Upload or transmit malware, or use the Service to store or transmit unlawful, infringing, or harmful content.

6. Third-party integrations

The Service lets you connect third-party accounts (for example, Google Ads, Google Analytics, Meta Ads, and HubSpot) via OAuth. By connecting an account, you authorize us to access and process data from that account on your behalf as described in our Privacy Policy. You represent that you have the right to grant this access and are responsible for the data you connect and for complying with the applicable third-party terms. Third-party platforms are operated independently; we are not responsible for their availability, accuracy, or practices, and your use of them is governed by their own terms.

7. Intellectual property

The Service, including its software, design, and content (excluding your data), is owned by Captive Demand and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain all rights to the data you connect or create (“Your Data”), and you grant us a limited license to host, process, and display Your Data solely to provide the Service.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that analytics and AI-generated outputs will be accurate or complete. You are responsible for evaluating outputs before relying on them.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHSTAR ANALYTICS AND CAPTIVE DEMAND WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Captive Demand and its affiliates, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Data, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us or others. Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

12. Governing law and venue

These Terms are governed by the laws of the State of Tennessee, USA, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Tennessee will have exclusive jurisdiction and venue over any dispute arising out of or relating to these Terms or the Service.

13. Changes to these Terms

We may modify these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
